Terms of Service

Effective October 18, 2026

These terms apply to your use of this website (www.adblogic.com) and to any consulting, advisory, integration, automation, software or other services ADB Logic ("ADB Logic", "we", "us") provides to you ("you", "the client"). By using the site or engaging our services, you agree to these terms.

Each project is also described in a written proposal, quote or statement of work (a "proposal"). If a signed proposal says something different from these terms, the proposal wins for that project. Otherwise these terms apply.

1. Our services

We provide technology and business consulting: reviewing how a business runs, recommending tools and processes, setting up and connecting software, automating tasks, building small custom tools, and related advice. The scope, price and timing of each project are set out in its proposal. Work outside that scope is quoted separately.

Our advice is general technology and business advice. We are not lawyers, accountants, tax advisers or financial advisers, and nothing we provide is legal, accounting, tax, financial or regulatory advice. Get professional advice on those matters before relying on anything we suggest.

2. You approve and verify every solution

You are the one who knows your business, and you make the decisions. Before you use, rely on or put into production any recommendation, configuration, automation, integration, script, report, software or other work product we provide (a "deliverable"), you agree to:

  • review it and confirm it meets your needs;
  • test it and check that it works correctly with your own data, systems and processes;
  • check that it complies with the laws, regulations, contracts and policies that apply to your business; and
  • approve it before it is used in your business.

A deliverable is accepted when you approve it in writing (email is fine), or when you start using it in your business, whichever happens first. Once accepted, you are responsible for its use and its results. We will not put anything into live use in your business without your approval.

3. Your responsibilities

  • Information and access. Give us accurate information and the access the work needs, and tell us promptly about anything that affects the work.
  • Backups. Keep current, tested backups of your data and systems before and during any work. We are not responsible for lost or damaged data.
  • Accounts and licences. You own and pay for the software, subscriptions and accounts used in your business, and you are responsible for following their terms.
  • Permissions. Make sure you have the right to share any data, including personal information about your staff or customers, with us.
  • Security. Manage your own passwords and user access, and remove our access when the work ends.

4. Third-party products and AI

Much of our work uses software, cloud services and AI tools made by other companies. We do not control them and are not responsible for how they work, their availability, their security, changes to their features or prices, or their terms. Your use of them is governed by their own terms.

AI tools can produce output that is wrong, incomplete or biased. Any AI-assisted output, whether produced while we work or by a tool we set up for you, must be checked by a person before it is relied on.

5. No guarantee of results

We work carefully and in good faith, but we do not promise any particular outcome, such as time saved, cost savings, revenue, efficiency or error-free operation. Estimates of time, cost or benefit are estimates only.

To the fullest extent the law allows, the services and deliverables are provided "as is" and "as available", without any warranty or condition of any kind, whether express, implied or statutory, including any implied warranty or condition of merchantability, quality, fitness for a particular purpose, non-infringement or that anything will be error-free, secure or uninterrupted.

6. Limitation of liability

To the fullest extent the law allows, ADB Logic and its owners, employees and contractors are not liable for any loss, damage, cost or claim of any kind arising from or related to this website, our services, any deliverable, or your use of or reliance on any of them, however it is caused and whether the claim is in contract, tort (including negligence), under statute or otherwise. This includes, without limitation, lost profits, revenue, savings or business, lost or corrupted data, business interruption, regulatory fines, and any indirect, incidental, special, consequential or punitive damages, even if we were told they were possible.

If, despite the above, a court finds ADB Logic liable for anything, our total liability for all claims combined is limited to the fees you actually paid us for the specific service that gave rise to the claim in the 3 months before the claim arose.

Nothing in these terms limits liability that cannot be limited by law.

7. Indemnity

You agree to indemnify and hold harmless ADB Logic and its owners, employees and contractors from any claim, loss, cost or expense (including reasonable legal fees) brought by a third party and arising from your use of the services or deliverables, your data, your breach of these terms, or your breach of any law or third-party rights.

8. Fees and payment

Fees are set out in the proposal and are in Canadian dollars plus applicable taxes. Unless the proposal says otherwise, invoices are due within 15 days. We may pause work while an invoice is overdue. Expenses such as software licences you ask us to buy on your behalf are charged at cost, with your approval first.

9. Ownership

Once you have paid in full, you own the deliverables made specifically for you. We keep ownership of our pre-existing tools, templates, code, methods and know-how, and anything we develop that is not specific to your business. Where these are part of a deliverable, you get a non-exclusive, perpetual licence to use them within your business. Third-party software remains owned by its makers.

10. Confidentiality

Each of us will keep the other's non-public business information confidential and use it only for the work, except where it is already public, was already known, is received lawfully from someone else, or must be disclosed by law. How we handle personal information is described in our Privacy Policy.

11. Ending the work

Either of us may end a project by written notice. You pay for the work done and approved expenses incurred up to the end date. Sections 2 to 7, 9, 10 and 12 continue to apply after the work ends.

12. This website

The content on this site is general information only, may be out of date and is not advice for your situation. Links to other websites are for convenience; we are not responsible for their content. Do not misuse the site, including by trying to break its security, overload it or send spam through the contact form. The ADB Logic name, logo and site content belong to us and may not be copied without permission.

13. General

  • Governing law. These terms are governed by the laws of the Province of Alberta and the federal laws of Canada that apply there. The courts of Alberta, sitting in Calgary, have exclusive jurisdiction.
  • Events beyond our control. We are not responsible for delays or failures caused by events outside our reasonable control, including outages of third-party services.
  • Independent contractor. We work as an independent contractor, not as your employee, partner or agent.
  • Severability. If any part of these terms is found unenforceable, it is limited to the minimum extent necessary and the rest stays in effect.
  • Entire agreement. These terms, together with any signed proposal, are the whole agreement between us about the services.
  • Changes. We may update these terms. The version in effect when a proposal is accepted applies to that project.
